The email arrives at 6:40 on a Thursday evening. The bank overseas is ready to open your company's account. The partner abroad is ready to sign. There is just one line left on their checklist: an apostilled Certificate of Good Standing for your Nevada LLC.

You built this business from a kitchen table in Henderson or a small office off Sahara. You have kept up with almost everything. But this request comes wrapped in words you may never have seen together, like "apostille," "authentication," and "certificate of existence," and the deadline does not care that state offices are closed for the night.

Take a breath. Getting an apostille on a Nevada Certificate of Good Standing is a defined administrative process, and you do not have to sort it out alone.

What Is a Nevada Certificate of Good Standing?

In Nevada, the document most people call a "Certificate of Good Standing" is issued by the Nevada Secretary of State under the title Certificate of Existence. The Secretary of State's sample certificates describe it as evidence of good standing and show three versions:

  • Short form – certifies that the entity was organized or qualified under Nevada law and is in good standing in the state.

  • Long form including amendments – adds a list of the organizational documents on file for the entity.

  • Long form without amendments – states that no amendments are on file.

According to the Secretary of State, these certificates can be created for corporations, limited liability companies, limited partnerships, limited liability partnerships, nonprofit corporations, professional corporations, close corporations, business trusts, and foreign qualifications.

The bank, agency, or business partner abroad decides what it will accept, so many business owners ask the recipient in writing which version it wants before ordering.

Why Would a Foreign Bank or Partner Ask for an Apostille?

An apostille is a certificate that allows a public document from one country to be presented in another country that belongs to the Hague Apostille Convention. In Nevada, the Secretary of State issues it. The Secretary of State's apostille page cites NRS 240.1657 and describes the authentication as verifying that the signature of the state official on a document intended for use in a foreign country is genuine.

Nevada is a dual document state. For documents headed to Hague Convention countries, the Secretary of State issues an apostille. For non-Hague countries, it issues a certification instead.

How to Get an Apostille on a Nevada Certificate of Good Standing

Step 1: Check the entity's status

The Secretary of State provides entity status information free of charge through its online Business Entities Search. Nevada's sample certificates use different wording for an entity in default or revocation, and those versions do not state that the entity is in good standing. Looking up the status first shows you what the certificate is likely to say.

Step 2: Order the certificate

The Secretary of State's Commercial Recordings FAQ lists three ways to order: online through SilverFlume by selecting "Good Standing Certificate," by mail with a letter naming the entity, or by fax with a detailed request. Certificates ordered online are available in the SilverFlume "Documents" tab for 365 days from the date of purchase.

Step 3: Request the authentication

Certificates about business entities are Secretary of State Commercial Recordings documents. For those, the Secretary of State's apostille page directs customers to contact its Copies Division for procedural instructions. For apostille requests in general, the state's order form asks for an email address, the name of the country where the document will be presented, and a valid return address, and the state notes that leaving information off may result in a rejection.

Step 4: Plan for processing and return

As of this writing, the Secretary of State's apostille page lists a standard processing time of two weeks, with expedited services available. The page also states that documents are returned by First Class Mail, even when expedited service is requested, unless a prepaid, self-addressed envelope is included.

Where Business Owners Get Stuck

  • Ordering a version the recipient did not ask for. Short form and long form certificates say different things.

  • Leaving the destination country off the request. The state's order form asks for it.

  • Skipping the status check. A certificate reflects the entity's status on the date it is issued.

  • Forgetting the companion documents. A foreign institution may also ask for other papers. The Secretary of State lists powers of attorney and authorizations to conduct business in foreign countries among the documents it authenticates. Documents you create yourself must first be notarized by a Nevada notary before the state can authenticate them.
